Terms of Service

These Terms of Service govern access to and use of Ziratick, a software platform operated by C5P Technologies LLC, a Wyoming limited liability company in the United States.

1. Platform Role

Ziratick is a software platform operated by C5P Technologies LLC. Ziratick provides founder visibility, operational intelligence, startup evaluation workflows, investor discovery, messaging, KPI tracking, document links, and related platform tools. Ziratick is not a broker-dealer, investment adviser, funding portal, placement agent, securities exchange, crowdfunding intermediary, bank, lender, escrow provider, or fiduciary.

2. No Investment Advice

Information displayed on Ziratick is for informational and platform-operational purposes only. Ziratick does not recommend investments, endorse startups, guarantee funding, verify every founder statement, or provide legal, tax, accounting, financial, investment, or business advice.

3. Eligibility and Accounts

Users must be at least 18 years old and able to enter into a binding agreement. Users are responsible for accurate account information, protecting login credentials, and all activity under their accounts.

4. Founder Responsibilities

Founders are responsible for the accuracy, completeness, ownership, legality, and truthfulness of startup profiles, KPI entries, module answers, visibility applications, document links, messages, and other submitted information. Visibility approval does not guarantee investor interest, introductions, funding, partnerships, or business outcomes.

5. Investor Responsibilities

Investors are responsible for conducting independent review, verification, diligence, and professional consultation. Investor access does not create a fiduciary relationship, advisory relationship, solicitation, recommendation, or guarantee regarding any startup.

6. Subscriptions and Payments

Certain Ziratick features may require paid access, subscriptions, renewals, or administrator approval. Fees, billing rules, cancellations, renewals, refunds, and payment processing are governed by the applicable billing terms and payment provider rules.

7. User Content and Platform License

Users retain ownership of content they submit. By submitting content, users grant C5P Technologies LLC and Ziratick a non-exclusive, worldwide license to host, store, process, display, analyze, transmit, and use that content as necessary to operate, secure, improve, moderate, and provide the platform.

8. Visibility and Confidentiality

Users should not submit confidential or sensitive information unless they are comfortable with the applicable visibility settings and platform workflows. Information approved for investor visibility may be accessible to permitted investor users.

9. Acceptable Use

Users may not misuse the platform, submit fraudulent or misleading information, impersonate others, scrape data, spam users, bypass permissions, interfere with systems, upload unlawful content, or use Ziratick for unlawful, abusive, deceptive, harmful, or unauthorized purposes.

10. Enforcement

Ziratick may review, restrict, suspend, remove, limit, or terminate access to accounts, content, visibility, messaging, or platform features when necessary to protect users, comply with law, enforce policies, investigate abuse, or preserve platform integrity.

11. Intellectual Property

Ziratick, the platform design, software, workflows, scoring systems, interface elements, branding, documentation, and related materials are owned by or licensed to C5P Technologies LLC. Users may not copy, reverse engineer, resell, exploit, or create derivative works from the platform except as expressly permitted.

12. Disclaimers

Ziratick is provided on an as-is and as-available basis. C5P Technologies LLC does not guarantee uninterrupted access, error-free operation, investor participation, platform results, data accuracy, funding outcomes, or business performance.

13. Limitation of Liability

To the maximum extent permitted by law, C5P Technologies LLC and its affiliates, owners, officers, contractors, service providers, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising from use of or inability to use Ziratick.

14. Indemnification

Users agree to indemnify and hold harmless C5P Technologies LLC from claims, damages, losses, liabilities, costs, and expenses arising from user content, misuse of the platform, violation of these Terms, violation of law, or infringement of third-party rights.

15. Changes to Terms

These Terms may be updated periodically as Ziratick evolves. Continued use of the platform after updates means you accept the revised Terms.
